TERMS & CONDITIONS OF USE & SALE

IMPORTANT LEGAL NOTICE

PLEASE READ THESE TERMS CAREFULLY.
THEY CONTAIN WAIVERS OF RIGHTS, ASSUMPTIONS OF RISK, LIMITATIONS OF LIABILITY, AND PAYMENT OBLIGATIONS.

BY ACCESSING OR USING THE KITCHEN SOLUTIONS WEBSITE, DESIGN SOFTWARE, CONFIGURATORS, OR ORDERING PLATFORM, OR BY SUBMITTING ANY PAYMENT, YOU AGREE TO BE LEGALLY BOUND BY THESE TERMS IN FULL.

IF YOU DO NOT AGREE, DO NOT USE THE PLATFORM OR PLACE AN ORDER.

1. LEGAL ENTITY & DEFINITIONS

“Kitchen Solutions” is a trade name and DBA of Arae Home Solutions LLC, a California limited liability company (“Company,” “we,” “us,” or “our”).

“You” or “Customer” means any individual or entity accessing the platform, using design tools, submitting measurements, adding products to cart, or purchasing goods or services.

All transactions, payments, liabilities, and obligations are entered into solely with Arae Home Solutions LLC, regardless of branding used.

2. PLATFORM PURPOSE & ROLE OF COMPANY

Kitchen Solutions operates a technology-enabled kitchen configuration, cabinet sourcing, and logistics facilitation platform.

The platform allows Customers to:

  • Manually select cabinetry products, or

  • Use layout-based design software,

  • Input dimensions and specifications,

  • Populate layouts with base cabinets, wall cabinets, and accessories,

  • Submit a request to purchase custom-configured cabinetry.

The Company is not an architect, engineer, interior designer, general contractor, or installer, unless expressly stated in a separate written agreement.

3. ELIGIBILITY & USER REPRESENTATIONS

By using the platform, you represent and warrant that:

  • You are at least 18 years old;

  • You have authority to enter into a binding contract;

  • You are the property owner or authorized by the owner;

  • All information you provide is accurate, complete, and current.

The Company may suspend or terminate access for misrepresentation, misuse, or suspected fraud.

4. DESIGN SOFTWARE, VISUALIZATION & NO RELIANCE

All design tools, layouts, renderings, elevations, previews, estimates, and configurations are provided for conceptual and visualization purposes only.

You expressly acknowledge and agree that:

  • Designs do not guarantee fit, function, code compliance, or constructability;

  • Designs do not account for all site-specific conditions or tolerances;

  • You are not relying on the platform as professional advice.

Independent verification by qualified professionals is strongly recommended prior to manufacturing or installation.


5. MEASUREMENTS, DIMENSIONS & ASSUMPTION OF RISK

(INTEGRATED MEASUREMENT LIABILITY WAIVER)

5.1 Sole Responsibility for Measurements

ALL DIMENSIONS, MEASUREMENTS, AND SITE CONDITIONS ARE PROVIDED BY YOU AT YOUR SOLE RISK.

This includes, without limitation:

  • Wall lengths and ceiling heights;

  • Doors, windows, appliances, and required clearances;

  • Plumbing, electrical, gas, and HVAC locations;

  • Out-of-square walls, slopes, soffits, bulkheads, and obstructions.

The Company does not verify measurements unless a separate paid measurement service is explicitly purchased and confirmed in writing.


5.2 Waiver of Measurement-Related Claims

By using the platform or placing an order, you expressly agree that:

  • Incorrect or incomplete measurements may result in products that do not fit or cannot be installed;

  • You waive all claims related to measurement errors or omissions;

  • No refunds, cancellations, remakes, replacements, credits, or re-fabrication will be provided for measurement-related issues.

This waiver applies even if such errors were foreseeable or discoverable prior to manufacturing.


6. CART, CHECKOUT & ORDER SUBMISSION

(CRITICAL – ORDER FORMATION CONTROL)

6.1 Cart Contents Are Informational Only

Items added to the shopping cart represent a proposed configuration only and do not constitute:

  • A binding offer by the Company;

  • A guarantee of inventory availability;

  • A final or confirmed price.

Cart contents may change due to inventory, pricing updates, or configuration validation.

6.2 Checkout Constitutes an Order Request

Submitting an order through checkout constitutes a non-binding request to purchase, not acceptance by the Company.

By checking out, you acknowledge and agree that:

  • Inventory is not guaranteed at the time of checkout;

  • Pricing may be subject to confirmation;

  • The Company may accept, reject, or modify the order request at its discretion.

6.3 No Contract Until Written Acceptance

No binding contract is formed unless and until:

  1. Inventory availability is verified;

  2. Pricing is confirmed;

  3. The Company issues a written Order Confirmation.

The Company reserves the right to cancel or reject any order request prior to written acceptance, including for pricing errors, inventory constraints, suspected fraud, or platform misuse.

6.4 Order Finalization

Once an Order Confirmation is issued:

  • The order becomes final and binding;

  • Manufacturing and fulfillment may begin;

  • The order is subject to the custom goods / final sale provisions below.

7. PRICING, CUSTOM GOODS & FINAL SALE

All cabinetry and kitchen components sold through the platform are:

  • Custom-configured;

  • Made-to-order;

  • Manufactured specifically for you.

ALL SALES ARE FINAL.

Once an order is accepted:

  • No cancellations;

  • No refunds;

  • No returns;

  • No exchanges.

This applies regardless of project delays, installer issues, or change of mind.


8. PAYMENTS, CHARGEBACKS & DISPUTES

(INTEGRATED CHARGEBACK POLICY)

By submitting payment, you expressly agree that:

  1. You will not initiate a chargeback or payment dispute for any reason;

  2. A chargeback constitutes a material breach of these Terms;

  3. The Company may submit these Terms, order records, designs, logs, timestamps, IP data, and communications as evidence;

  4. You are responsible for all chargeback fees and recovery costs if the dispute is resolved in the Company’s favor.

The Company may suspend accounts, pursue collections, or seek legal remedies for improper disputes.

9. SHIPPING, DELIVERY & RISK OF LOSS

Risk of loss transfers to you upon:

  • Carrier pickup, or

  • Warehouse release to you or your agent.

You are responsible for:

  • Site accessibility;

  • Unloading arrangements;

  • Protection of finished surfaces.

You must inspect all goods immediately and report visible damage or shortages within 48 hours. Installed materials are deemed accepted.


10. INSTALLATION & THIRD-PARTY SERVICES

Unless expressly stated in a separate written agreement:

  • The Company does not provide installation;

  • Installers are independent third parties;

  • No agency, partnership, or employment relationship exists.

The Company is not responsible for workmanship, delays, pricing disputes, code compliance, or property damage caused by installers.

11. INTELLECTUAL PROPERTY & PLATFORM USE

All software, layouts, designs, logic, and platform content are the exclusive property of Arae Home Solutions LLC.

You may not:

  • Reverse engineer the platform;

  • Use designs commercially;

  • Resell or redistribute platform outputs.

12. PRIVACY & DATA USE (INCORPORATED BY REFERENCE)

By using the platform, you consent to the collection and use of personal and technical data, including:

  • Contact and billing information;

  • Design files and dimensions;

  • IP addresses, device data, and usage logs.

Data practices are governed by the Privacy Policy, which is incorporated by reference and forms part of these Terms.


13. ACCESSIBILITY COMMITMENT

The Company is committed to providing a website accessible to all users and strives to conform to WCAG 2.1 Level AA standards.

Accessibility issues may be reported using the contact information on the website.

14. LIMITATION OF LIABILITY

To the fullest extent permitted by law:

  • Total liability shall not exceed the amount paid for the specific products at issue;

  • The Company is not liable for indirect, incidental, consequential, delay-related, labor-related, or installation-related damages.

15. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Arae Home Solutions LLC from any claims arising out of:

  • Measurement errors;

  • Installation or construction activities;

  • Code violations;

  • Third-party actions;

  • Misuse of the platform or products.

16. FORCE MAJEURE

The Company is not liable for delays or failures caused by events beyond its reasonable control, including supply chain disruptions, labor strikes, governmental actions, or acts of God.


17. TERMINATION & SUSPENSION

The Company may suspend or terminate access for violation of these Terms, suspected fraud, or misuse of the platform.

18. GOVERNING LAW & VENUE

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules.

Exclusive venue lies in Los Angeles County, California.

19. SEVERABILITY & SURVIVAL

If any provision is held invalid, the remaining provisions remain enforceable.
All waivers, limitations, and indemnities survive termination.

20. ENTIRE AGREEMENT & MODIFICATIONS

These Terms constitute the entire agreement between you and Arae Home Solutions LLC, dba Kitchen Solutions, and supersede all prior agreements.

Continued use of the platform constitutes acceptance of any updates.
